These Referral Partner Terms & Conditions (“Terms”) govern your participation in the Outreachly Referral Program. Outreachly is operated by ReachSoft OÜ, a company registered in Estonia at Järvevana tee 9, Tallinn, 11314 (Registration No: 17027954) (“Outreachly,” “we,” “us,” or “our”).
By submitting a referral through Outreachly’s designated process, you (“Referral Partner,” “you”) confirm that you have read, understood, and agreed to these Terms. If you do not agree to these Terms, you must not submit referrals or participate in the program.
We reserve the right to update, amend, or terminate these Terms at any time. Any modifications will apply to all referrals submitted after the changes take effect. Your continued participation in the Referral Program constitutes acceptance of the revised Terms. The latest version of these Terms will always be available at: https://outreachly.ai/partner-terms/
1. Participation in the Referral Program
1.1 The Outreachly Referral Program is open to individuals and legal entities legally capable of entering into a binding agreement. By participating, you confirm that you act as an independent contractor and not as an employee, agent, or representative of Outreachly.
1.2 Referral Partners have no authority to enter into agreements, make representations, or bind Outreachly in any way. Outreachly shall not be held liable for any commitments made by a Referral Partner to a referred client.
1.3 Referrals must be submitted using the official referral form, designated landing page, or other approved methods provided by Outreachly.
1.4 Outreachly reserves the sole discretion to approve, reject, or disqualify referrals without providing a reason.
1.5 Outreachly reserves the right to terminate or suspend a Referral Partner’s participation in the program at any time if they violate these Terms or any Outreachly policies, engage in fraudulent, deceptive, or unethical conduct such as self-referrals, or misrepresent Outreachly’s services, pricing, or guarantees.
2. Referral Process & Commission Eligibility
2.1 A “Referral” is a business or individual that books an online demo with Outreachly using the Referral Partner’s unique tracking link or submission method.
2.2 A referral is considered successful when the referred business makes a qualifying purchase of an Outreachly software or service.
2.3 Qualifying sales include Software Sales, BuyerTrack™ Sales, and Managed Domain Sales.
2.4 Non-Qualifying Transactions, where no commission is payable, include canceled or refunded transactions, implementation fees, free trials or non-revenue-generating activities, and renewals, upgrades, or subsequent purchases made after the initial 12-month period.
2.5 If multiple Referral Partners submit the same referral, Outreachly will attribute the commission to the first recorded submission.
2.6 The Referral Partner must not refer themselves or their own business and must not engage in deceptive or unethical practices. Outreachly reserves the right to withhold commissions and terminate participation if fraud, abuse, or misrepresentation is suspected.
2.7 Outreachly reserves the right to audit and verify referral submissions at any time. If a referral is found to be invalid, fraudulent, or in violation of these Terms, Outreachly may revoke commission payments and terminate the Referral Partner’s participation.
2.8 All referred clients remain the exclusive customers of Outreachly. The Referral Partner has no rights or claims over the referred customer relationship, data, or future transactions beyond commissions outlined in these Terms.
2.9 All referred clients who purchase Outreachly services will be subject to Outreachly’s standard Supply of Service Terms, which govern their use of the services. The Referral Partner has no authority to modify or negotiate these terms on Outreachly’s behalf. 3. Commission Payment Terms
3.1 The Referral Partner will receive a 15% commission on qualifying sales made by referred customers for 12 months from the date of their first purchase.
3.2 Commission payments are processed monthly in arrears, subject to the referred customer’s successful payment collection by Outreachly.
3.3 Payments will be made via bank transfer or PayPal. The Referral Partner is responsible for providing correct payment details, and Outreachly is not responsible for delays due to incorrect payment information.
3.4 Outreachly reserves the right to adjust, delay, or withhold commissions in the event of refunds, chargebacks, or customer disputes, non-payment by the referred customer, or suspected fraud or violation of these Terms.
3.5 In the event of a dispute related to a referral, Outreachly reserves the right to withhold commission payments until the matter is fully investigated and resolved.
3.6 Outreachly reserves the right to review and amend commission structures at its sole discretion with 14 days’ prior notice to the Referral Partner.
3.7 Outreachly does not guarantee any minimum commission payments or a specific number of successful referrals.
3.8 The Referral Partner must comply with tax laws in their jurisdiction and is responsible for reporting and paying any applicable taxes on their commission earnings.
3.9 Outreachly will provide regular commission reports to the Referral Partner, detailing tracked referrals and commissions earned.
4. Intellectual Property & Branding
4.1 Referral Partners may use Outreachly-approved marketing materials but must not misrepresent Outreachly’s services, pricing, or guarantees.
4.2 Referral Partners must not use Outreachly’s branding, trademarks, or proprietary materials without written permission.
4.3 Outreachly reserves the right to require the immediate removal of any marketing materials that are misleading, inaccurate, or non-compliant with its brand guidelines.
4.4 Referral Partners must comply with all applicable advertising laws, regulations, and ethical marketing practices. Outreachly reserves the right to suspend or terminate participation if misleading, deceptive, or unlawful marketing practices are detected.
5. Confidentiality & Non-Disparagement
5.1 The Referral Partner must not disclose any confidential information related to Outreachly, its customers, pricing, or business operations.
5.2 The Referral Partner agrees not to make any false, misleading, or defamatory statements about Outreachly publicly or privately, including on social media.
6. Limitation of Liability & Indemnity
6.1 Outreachly makes no guarantees regarding referral conversion rates, earnings potential, or the performance of its services. Participation is at the Referral Partner’s own risk.
6.2 Outreachly is not responsible for technical failures, tracking errors, or external disruptions that may affect referral submissions or commission tracking.
6.3 The Referral Partner agrees to indemnify and hold Outreachly harmless from any claims, losses, or damages resulting from their participation in the program, misuse of Outreachly branding or trademarks, and legal or tax obligations arising from commission payments.
6.4 Outreachly’s total liability under these Terms is limited to the total commissions earned by the Referral Partner in the three (3) months prior to the claim.
6.5 Outreachly shall not be liable for any representations, commitments, or actions taken by the Referral Partner in relation to referred clients, including but not limited to marketing claims, service guarantees, or contractual terms not explicitly approved by Outreachly.
7. Program Modification, Termination & Removal
7.1 Outreachly may modify or terminate the Referral Program at any time without prior notice. Continued participation after any changes constitutes acceptance of the updated Terms.
7.2 Either party may terminate participation by providing written notice. Referral Partners will remain eligible for unpaid commissions earned before termination but will not receive commissions on referrals that convert after termination.
7.3 In the event of suspected fraud, misrepresentation, or violation of these Terms, Outreachly reserves the right to withhold commissions, terminate participation, and pursue legal action or recover damages where applicable.
7.4 Sections 5 (Confidentiality & Non-Disparagement), 6 (Limitation of Liability & Indemnity), 8 (Data Protection), and 9 (Governing Law & Jurisdiction) shall survive termination of these Terms.
8.Data Protection
8.1 The Referral Partner agrees to comply with all applicable data protection laws and regulations, including obtaining any necessary consents for Outreachly to process personal data as required under this Agreement.
8.2 The Referral Partner must promptly notify Outreachly of any data breach, unauthorised access, or security incident involving personal data provided under this Agreement.
9. Governing Law & Jurisdiction
9.1 These Terms are governed by and shall be construed in accordance with Estonian law.
9.2 Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Estonia.
10. Acceptance of Terms
